Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of the GTM Engine website and application (the "Service"), operated by FutureProof Sales Ltd ("FutureProof Sales", "GTM Engine", "we", "us", "our"), a company registered in Northern Ireland with its registered office at 8 Columba Terrace, Londonderry, Northern Ireland, BT47 6JT. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility and accounts

You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account. Notify us promptly at hello@gtmengine.app if you suspect unauthorised use. If you create or manage a workspace on behalf of an organisation, you confirm you are authorised to bind that organisation to these Terms.

3. Your content

You retain all rights to the materials and content you upload to or generate with the Service ("Your Content"). You grant us a limited licence to host, process, and display Your Content solely to operate and provide the Service to you, including sending it to our service providers (such as AI and storage providers) as needed to deliver the features you use. You are responsible for Your Content and for ensuring you have the rights to use it.

4. AI-generated output

The Service uses artificial intelligence to help draft and analyse content. AI output can be inaccurate, incomplete, or unsuitable, and similar output may be generated for other users. You are responsible for reviewing, editing, and approving any AI-generated material before you rely on it, publish it, or share it. We make no warranty that AI output is accurate, original, or fit for a particular purpose.

5. Connected accounts and publishing

If you connect a third-party account (such as Outlook, Google, or LinkedIn), you authorise us to access and use that account only as described in our Privacy Policy and only to provide the features you enable. Where the Service publishes content on your behalf (for example, posting to LinkedIn), it does so only when you explicitly choose to publish a specific item. You are solely responsible for the content you publish and for complying with the terms and policies of any connected third-party platform. We are not responsible for the acts, policies, or availability of those platforms.

6. Acceptable use

You agree not to use the Service to:

• break the law or infringe anyone's rights, including intellectual property and privacy rights;
• send spam, or post content that is unlawful, deceptive, harassing, hateful, or harmful;
• violate the terms of any connected platform, or attempt to bypass their or our technical or rate limits;
• reverse engineer, scrape, overload, disrupt, or gain unauthorised access to the Service;
• resell or provide the Service to third parties except as expressly permitted by us.

7. Plans, credits, and payment

Some features require paid credits or a subscription. Prices and what each plan includes are shown in the Service and may change with notice. Payments are processed by our third-party payment provider. Unless stated otherwise or required by law, purchased credits and fees are non-refundable. You are responsible for any taxes that apply to your purchase. If a payment fails or an account is overdue, we may suspend paid features until it is resolved.

8. Intellectual property

The Service itself, including its software, design, and branding, is owned by GTM Engine and protected by intellectual property laws. These Terms do not transfer any of our intellectual property to you. You may not use our name or logo without our permission.

9. Availability and changes

We aim to keep the Service available and reliable, but we provide it on an "as is" and "as available" basis. We may modify, suspend, or discontinue features at any time. We may also update these Terms from time to time; when changes are material we will update the date above and, where appropriate, notify you. Continued use after an update means you accept the revised Terms.

10. Disclaimers

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any output or result will meet your expectations.

11. Limitation of liability

To the fullest extent permitted by law, GTM Engine will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the event giving rise to the claim, or one hundred pounds (£100). Nothing in these Terms excludes liability that cannot be excluded by law.

12. Indemnity

You agree to indemnify and hold GTM Engine harmless from claims, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your publishing through connected accounts, or your breach of these Terms or of any third-party rights or platform policies.

13. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends; sections that by their nature should survive (such as content licences you have granted, disclaimers, limitation of liability, and indemnity) will continue to apply.

14. Governing law

These Terms are governed by the laws applicable where GTM Engine is established, and the courts there will have jurisdiction over any dispute, without prejudice to any mandatory consumer-protection rights you have under local law.
